Statement by Wingtech on the Latest Ruling of the Enterprise Chamber in the Netherlands Regarding the Nexperia Case

聞泰科技注意到今日荷蘭阿姆斯特丹企業(yè)法庭（“企業(yè)法庭”）針對安世半導體案件做出最新裁決。企業(yè)法庭并未撤銷此前的錯誤決定，未能解除對安世半導體實施的臨時措施，亦未能恢復聞泰科技作為安世半導體股東的合法控制權(quán)。企業(yè)法庭同時裁定對安世半導體啟動調(diào)查程序。我司對這一裁決表示極為失望與強烈不滿。

Wingtech has noted the latest ruling issued today by the Amsterdam Enterprise Chamber (the“Enterprise Chamber”) in the Netherlands in the Nexperia case. The Enterprise Chamber has not revoked its previous erroneous decision, failed to lift the interim measures imposed on Nexperia, and nor restored Wingtech’s legitimate controlling rights as a shareholder of Nexperia. The Enterprise Chamber has also ruled to initiate an investigation procedure against Nexperia. The Company expresses profound disappointment and strong dissatisfaction with this ruling.

企業(yè)法庭一方面維持了2025年10月以來針對我司及張學政先生的錯誤臨時措施——這一措施正在持續(xù)、不可逆地摧毀一家原本運營卓越、貢獻卓著的全球半導體領(lǐng)軍企業(yè)，損害上萬名員工、逾2.5萬家客戶及全球產(chǎn)業(yè)鏈的利益；另一方面卻裁定啟動所謂“調(diào)查程序”，將案件拖入漫長的第二階段。這是一項自相矛盾、邏輯斷裂的裁決：法庭一面承認相關(guān)事項仍有待調(diào)查，一面卻繼續(xù)維持基于片面不實信息作出的臨時措施；一面認可有必要將調(diào)查范圍擴大至現(xiàn)任管理層，一面卻縱容同一批臨時管理層繼續(xù)把持公司，實質(zhì)上放任了他們繼續(xù)破壞公司運營、切割核心資產(chǎn)、危害全球供應鏈穩(wěn)定的行為。一個真正致力于維護“企業(yè)最佳利益”的法庭，怎么會放任現(xiàn)任管理層繼續(xù)推動一家原本卓越和成功的公司走向衰敗，并在此基礎(chǔ)上進行所謂的“調(diào)查”。

On the one hand, the Enterprise Chamber has maintained the erroneous interim measures targeting the Company and Mr. Wing Zhang that have been in place since October 2025 – such measures are continuously and irreparably damaging a world-leading semiconductor enterprise that once operated excellently and made outstanding contributions, and harming the interests of tens of thousands of employees, more than 25,000 customers and the global industrial chain. On the other hand, it has ruled to launch the so-called “investigation procedure”, dragging the case into a lengthy second phase.This is a self-contradictory and logically flawed ruling: the Chamber, while acknowledging that the relevant matters are still subject to investigation, continues to uphold the interim measures based on one-sided and false information; while recognizing the need to expand the scope of the investigation to the current management, it condones the same interim management to remain in control of the company, essentially allowing them to continue their acts of undermining the company’s operations, carving up core assets and jeopardizing the stability of the global supply chain. How could a chamber truly committed to safeguarding “the best interests of the enterprise” allow the current management to drive an originally excellent and successful company into decline while conducting the so-called “investigation” on this basis?

Wingtech has no fear of any fair, transparent and comprehensive investigation. On the contrary, we warmly welcome the genuine ascertainment of the truth, for the truth is Wingtech’s most powerful weapon.We firmly believe that any objective, professional investigation free from geopolitical bias will ultimately lead to the only possible conclusion: all actions taken by Wingtech and Mr. Wing Zhang in relation to Nexperia are lawful, compliant and reasonable, and are fully in the best interests of the company and all its stakeholders. These actions have been the greatest driving force behind Nexperia’s past success.

我們注意到，企業(yè)法庭的裁決已將調(diào)查范圍擴大至安世半導體現(xiàn)任臨時管理層。同時確認了我司在爭議事項上的多項主張。我司敦促企業(yè)法庭全面并公正地調(diào)查本案，并對安世半導體的現(xiàn)任管理層的一系列不法行為進行徹查，還原事實真相，追究相關(guān)人員責任。

We have noted that the ruling of the Enterprise Chamber has expanded the scope of the investigation to the current interim management of Nexperia and confirmed multiple claims of the Company in the disputed matters. The Company urges the Enterprise Chamber to conduct a full and fair investigation into this case, carry out a thorough investigation into a series of illegal acts of the current management of Nexperia, restore the truth, and hold the relevant personnel accountable.

我們重申：唯一能夠挽救安世半導體、穩(wěn)定全球供應鏈、保護所有利益相關(guān)方合法權(quán)益的方案，是立即、無條件撤銷全部臨時措施，恢復聞泰科技的合法股東權(quán)利。

We reaffirm that the only solution to save Nexperia, stabilize the global supply chain and protect the legitimate rights and interests of all stakeholders is to immediately and unconditionally revoke all interim measures and restore Wingtech’s legitimate shareholder rights.

我司將繼續(xù)通過一切合法途徑，堅定不移地爭取徹底恢復對安世半導體的全部合法控制權(quán)與治理權(quán)。這是結(jié)束當前亂局、讓安世半導體及半導體產(chǎn)業(yè)鏈重回健康發(fā)展軌道的唯一正確途徑。我們始終對自身的合法地位與正當權(quán)利充滿信心。我司將繼續(xù)通過一切法律途徑，堅決捍衛(wèi)自身權(quán)益，維護全球半導體產(chǎn)業(yè)鏈的開放、合作與穩(wěn)定。

The Company will continue to resolutely strive for the full restoration of all its legitimate controlling and governance rights over Nexperia through all legal means. This is the only correct way to end the current chaos and bring Nexperia and the semiconductor industrial chain back to a healthy development track. We have always been full of confidence in our legitimate status and rights. The Company will continue to resolutely safeguard its legitimate rights and interests through all legal means and uphold the openness, cooperation and stability of the global semiconductor industrial chain.
